Terms of Service

Effective date: January 1, 2025

These Terms of Service ("Terms") govern your access to and use of the Cubbie platform, including our website at cubbie.com, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Cubbie operates a trust-ranked software procurement marketplace. The Service enables buyers to discover, compare, and purchase software products, and enables vendors to list and sell their software through the platform. Cubbie may also provide subscription management, advisory, and analytics features.

3. Accounts and Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

4. Marketplace Transactions

Cubbie facilitates transactions between buyers and vendors but is not a party to the underlying software license or subscription agreement. Each vendor is solely responsible for the software products they list, including descriptions, pricing, fulfillment, and support. Cubbie charges a platform fee on completed transactions as described on our pricing page.

5. Cubbie Credits

Cubbie Credits earned through marketplace purchases are subject to the credit program terms displayed on the credits page. Credits have no cash value, are non-transferable, and may expire as described in the credit program terms.

6. Content and Intellectual Property

All content on the Service, including rankings, editorial reviews, taxonomy data, and trust scores, is the property of Cubbie or its licensors. You may not scrape, reproduce, or redistribute this content without prior written consent. Vendor-submitted content remains owned by the respective vendor, with a license granted to Cubbie for display and indexing.

7. Prohibited Conduct

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to manipulate rankings, reviews, or trust signals; (c) impersonate another user or entity; (d) interfere with the operation of the Service; or (e) access the Service through automated means except via our published APIs. 8. Disclaimers

The Service is provided "as is" and "as available." Cubbie does not warrant that the Service will be uninterrupted or error-free. Software rankings and trust scores are informational and do not constitute an endorsement or guarantee of any product.

9. Limitation of Liability

To the maximum extent permitted by law, Cubbie shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the greater of $100 or the fees you paid to Cubbie in the 12 months preceding the claim.

10. Termination

Either party may terminate these Terms at any time. Cubbie reserves the right to suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive will remain in effect.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New York County, New York.
